3. Service Agreement and Payment Terms

3.1 Project Scope

All projects begin with a detailed scope of work that outlines deliverables, timelines, and costs. Changes to the agreed scope may result in additional charges and timeline adjustments.

3.2 Payment Terms

  • A 50% deposit is required before work begins on any project
  • Final payment is due upon project completion and before final delivery
  • Monthly maintenance fees are due on the first of each month
  • Late payments may incur a 1.5% monthly service charge
  • All payments are non-refundable unless otherwise specified in writing

3.3 Project Timeline

Project timelines are estimates based on the agreed scope of work. Delays caused by client feedback, content provision, or scope changes may extend the timeline accordingly.

4. Intellectual Property Rights

4.1 Client Content

You retain ownership of all content, images, and materials you provide to us. You grant us a license to use these materials solely for the purpose of completing your project.

4.2 Custom Work

Upon full payment, you will own the custom design and development work created specifically for your project. This includes custom graphics, layouts, and functionality developed exclusively for your website.

4.3 Third-Party Components

Websites may include third-party components, plugins, or frameworks that remain the property of their respective owners and are subject to their own licensing terms.

4.4 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed upon in writing.

5. Client Responsibilities

  • Provide accurate and complete information for project requirements
  • Supply all necessary content, images, and materials in a timely manner
  • Provide timely feedback and approvals to maintain project timeline
  • Ensure you have rights to all content and materials provided
  • Maintain current backups of your website and data
  • Keep login credentials secure and notify us of any security concerns

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on custom development work for bug fixes and functionality issues.

6.2 Disclaimer

Except as expressly stated herein, all services are provided "as is" without warranty of any kind. We do not guarantee specific results, search engine rankings, or business outcomes.

6.3 Third-Party Services

We are not responsible for the performance, availability, or security of third-party services, hosting providers, or external integrations.

7. Limitation of Liability

In no event shall Pixel Works be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination:

  • All outstanding invoices become immediately due
  • We will provide final deliverables for completed work
  • Ongoing maintenance and support services will cease
  • You are responsible for maintaining your own website and data

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

10. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Pixel Works operates, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
